Terms of Sale

1. Identity of the seller, purpose

These terms of sale ("Terms of Sale") govern subscription to the paid Kotidy Premium subscription (the "Subscription") offered on the Kotidy service (the "Service") by:

They apply to any consumer within the meaning of the French Consumer Code (code de la consommation) (the "Customer"). Use of the Service is otherwise governed by the Terms of Use. In the event of conflict, the Terms of Sale prevail with respect to the Subscription.

2. Description of the Subscription

The Subscription gives access, for its duration, to the Premium features of the Service: in particular recipes and meal planning, fairness statistics, global search, iCal export of the calendar, chores with multiple occurrences, as well as extended limits (lists, projects, tasks and tags). The up-to-date details of the features and of the limits of the free plan are set out on the Pricing page: kotidy.app/pricing.

The Subscription benefits all members of the subscribing Customer's Household, limited to one Household per Subscription.

As the Service is supplied continuously and evolves regularly, features may be enriched or adjusted; Article 11 governs substantial changes.

3. Price

  • Monthly Subscription: EUR 2.99 per month.
  • Annual Subscription: EUR 24.99 per year.

Prices are expressed in euros, inclusive of all taxes (French VAT included at the applicable rate). The Seller may offer temporary promotional offers; the applicable price is the price displayed at the time of subscription.

The Seller may change its prices; any change is notified to the Customer by email at least 30 days before it applies, and it only applies from the next renewal period. The Customer may cancel free of charge before the new price applies (Article 8).

4. Subscribing

4.1. The Subscription is taken out online from the Service. The ordering process comprises: a summary of the offer and its price, express acceptance of these Terms of Sale (checkbox), the express request for immediate performance (Article 7), then secure payment. The subscription is confirmed by email, together with these Terms of Sale on a durable medium.

4.2. Payment on the web. Payment is made by bank card through the payment provider Stripe (Stripe Payments Europe, Ltd). The Seller never has access to full bank card details.

4.3. Purchase through a distribution platform (Google Play, App Store). Where the Subscription is taken out in the mobile application through a distribution platform, payment, billing, management and cancellation of the Subscription are carried out through the Customer's account on that platform, in accordance with its own terms, which apply in addition to these Terms of Sale. The Customer's statutory rights (withdrawal, guarantees) remain unchanged.

4.4. The Customer warrants that they are at least 18 years old or that they have the authorisation of their legal guardian.

5. Invoicing

A compliant invoice is issued for each payment and made available to the Customer (by email and/or in the Subscription management area). Invoices state the amount excluding VAT, the VAT rate and amount, and the amount inclusive of all taxes.

6. Term and automatic renewal

6.1. The monthly Subscription is concluded for one month, and the annual Subscription for one year, from the date of subscription. Each Subscription is automatically renewed (tacit renewal) for an identical period, unless cancelled before the end of the current period (Article 8).

6.2. In accordance with Article L215-1 of the French Consumer Code, for the annual Subscription the Seller informs the Customer in writing, no earlier than three months and no later than one month before the end of the period during which renewal may be refused, of the possibility of not renewing the contract. Articles L215-1 to L215-3 and L241-3 of the French Consumer Code are reproduced in Annex 2 (reproduction required by Article L215-4 of the same Code).

7. Right of withdrawal

7.1. In accordance with Articles L221-18 et seq. of the French Consumer Code, the Customer has a period of fourteen (14) days from the date of subscription in which to withdraw, without having to give any reason.

7.2. Immediate performance. As access to the Premium features is activated as soon as payment is made, the Customer expressly requests, at the time of subscribing (dedicated checkbox), that performance of the Service begin before the end of the withdrawal period, and acknowledges that:

  • if they exercise their right of withdrawal within the 14-day period, they will have to pay the price corresponding to the service supplied up to the time they communicate their decision to withdraw, calculated pro rata to the total price of the period subscribed (Article L221-25 of the French Consumer Code); the balance is refunded to them within 14 days;
  • they lose their right of withdrawal if the service has been fully performed before the end of the period.

7.3. How to exercise the right. The Customer may exercise their right of withdrawal:

  • by means of the online withdrawal function "Withdraw from the contract", available at all times during the 14-day period at kotidy.app/retractation (Article L221-21 of the French Consumer Code); an acknowledgement of receipt is sent to them without delay on a durable medium;
  • or by any other unambiguous statement sent to contact@kotidy.app, for example using the model form set out in Annex 1.

The refund is made through the payment method used, free of charge, no later than 14 days after receipt of the decision to withdraw.

8. Cancellation

8.1. The Customer may cancel their Subscription at any time, free of charge and without giving any reason. Cancellation takes effect at the end of the current period (monthly or annual); the Customer retains Premium access until that date. No pro rata refund is due for the period already started, except where the right of withdrawal is exercised (Article 7) and in the cases provided for in Articles 3, 10 and 11.

8.2. Online cancellation. In accordance with Article L215-1-1 of the French Consumer Code, a free cancellation function, accessible at all times, directly and easily, is available: from the Settings of the Service ("Subscription" → "Cancel") and at kotidy.app/resiliation. Cancellation is confirmed by email together with its effective date.

8.3. Subscriptions taken out through a distribution platform are cancelled from the Customer's account on that platform (e.g. Google Play → Subscriptions).

8.4. In the event of a serious breach by the Customer of the Terms of Use or Terms of Sale, the Seller may terminate the Subscription under the conditions set out in Article 8 of the Terms of Use; the sums corresponding to the paid period not yet used are then refunded, unless the termination is based on payment fraud.

9. Payment default

If payment of an instalment fails, the Customer is informed and the payment is retried. If the situation is not regularised within 14 days, Premium access is suspended and the Subscription is then terminated. The Customer's data is not deleted as a result: the account reverts to the free plan (content exceeding the limits of the free plan is retained but may become non-editable).

10. Legal guarantee of conformity

The Premium Service constitutes a digital service supplied on a continuous basis within the meaning of Articles L224-25-12 et seq. of the French Consumer Code. The Seller is required to supply a service that conforms to the contract and is liable for any lack of conformity that appears throughout the period of supply. The Customer is entitled, where applicable, to have the service brought into conformity free of charge, or failing that to a price reduction or to termination of the contract, under the conditions laid down by law. The Seller supplies the updates necessary to maintain conformity.

Le consommateur a droit à la mise en œuvre de la garantie légale de conformité en cas d'apparition d'un défaut de conformité durant un délai de la période contractuelle de fourniture souscrite, soit un (1) mois pour l'Abonnement mensuel ou un (1) an pour l'Abonnement annuel, à compter de la fourniture du contenu numérique ou du service numérique. Durant ce délai, le consommateur n'est tenu d'établir que l'existence du défaut de conformité et non la date d'apparition de celui-ci.

La garantie légale de conformité emporte obligation de fournir toutes les mises à jour nécessaires au maintien de la conformité du contenu numérique ou du service numérique durant cette même période.

La garantie légale de conformité donne au consommateur droit à la mise en conformité du contenu numérique ou du service numérique sans retard injustifié suivant sa demande, sans frais et sans inconvénient majeur pour lui.

Le consommateur peut obtenir une réduction du prix en conservant le contenu numérique ou le service numérique, ou il peut mettre fin au contrat en se faisant rembourser intégralement contre renoncement au contenu numérique ou au service numérique, si :

  1. Le professionnel refuse de mettre le contenu numérique ou le service numérique en conformité ;
  2. La mise en conformité du contenu numérique ou du service numérique est retardée de manière injustifiée ;
  3. La mise en conformité du contenu numérique ou du service numérique ne peut intervenir sans frais imposés au consommateur ;
  4. La mise en conformité du contenu numérique ou du service numérique occasionne un inconvénient majeur pour le consommateur ;
  5. La non-conformité du contenu numérique ou du service numérique persiste en dépit de la tentative de mise en conformité du professionnel restée infructueuse.

Le consommateur a également droit à une réduction du prix ou à la résolution du contrat lorsque le défaut de conformité est si grave qu'il justifie que la réduction du prix ou la résolution du contrat soit immédiate. Le consommateur n'est alors pas tenu de demander la mise en conformité du contenu numérique ou du service numérique au préalable.

Dans les cas où le défaut de conformité est mineur, le consommateur n'a droit à l'annulation du contrat que si le contrat ne prévoit pas le paiement d'un prix.

Toute période d'indisponibilité du contenu numérique ou du service numérique en vue de sa remise en conformité suspend la garantie qui restait à courir jusqu'à la fourniture du contenu numérique ou du service numérique de nouveau conforme.

Ces droits résultent de l'application des articles L224-25-1 à L224-25-31 du code de la consommation.

Le professionnel qui fait obstacle de mauvaise foi à la mise en œuvre de la garantie légale de conformité encourt une amende civile d'un montant maximal de 300 000 euros, qui peut être porté jusqu'à 10 % du chiffre d'affaires moyen annuel (article L242-18-1 du code de la consommation).

Le consommateur bénéficie également de la garantie légale des vices cachés en application des articles 1641 à 1649 du code civil, pendant une durée de deux ans à compter de la découverte du défaut. Cette garantie donne droit à une réduction de prix si le contenu numérique ou le service numérique est conservé, ou à un remboursement intégral contre renonciation au contenu numérique ou au service numérique.

The consumer is entitled to the legal guarantee of conformity if a lack of conformity appears within a period of the contractual period of supply subscribed to, namely one (1) month for the monthly Subscription or one (1) year for the annual Subscription, from the supply of the digital content or digital service. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it appeared.

The legal guarantee of conformity entails an obligation to supply all updates necessary to maintain the conformity of the digital content or digital service during that same period.

The legal guarantee of conformity entitles the consumer to have the digital content or digital service brought into conformity without undue delay following their request, free of charge and without significant inconvenience to them.

The consumer may obtain a price reduction while keeping the digital content or digital service, or may terminate the contract and obtain a full refund in exchange for giving up the digital content or digital service, if:

  1. The trader refuses to bring the digital content or digital service into conformity;
  2. Bringing the digital content or digital service into conformity is unduly delayed;
  3. Bringing the digital content or digital service into conformity cannot be carried out without costs being imposed on the consumer;
  4. Bringing the digital content or digital service into conformity causes significant inconvenience to the consumer;
  5. The lack of conformity of the digital content or digital service persists despite the trader's unsuccessful attempt to bring it into conformity.

The consumer is also entitled to a price reduction or to termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination of the contract. The consumer is then not required to first request that the digital content or digital service be brought into conformity.

Where the lack of conformity is minor, the consumer is only entitled to cancellation of the contract if the contract does not provide for the payment of a price.

Any period of unavailability of the digital content or digital service for the purpose of restoring its conformity suspends the remaining guarantee period until the digital content or digital service is supplied in conformity again.

These rights result from the application of Articles L224-25-1 to L224-25-31 of the French Consumer Code.

A trader who obstructs in bad faith the implementation of the legal guarantee of conformity is liable to a civil fine of up to EUR 300,000, which may be increased to up to 10% of average annual turnover (Article L242-18-1 of the French Consumer Code).

The consumer also benefits from the legal guarantee against hidden defects (garantie des vices cachés) pursuant to Articles 1641 to 1649 of the French Civil Code (code civil), for a period of two years from the discovery of the defect. This guarantee entitles the consumer to a price reduction if the digital content or digital service is kept, or to a full refund in exchange for giving up the digital content or digital service.

11. Changes to the Service or to the Terms of Sale

The Seller may change the Service and these Terms of Sale. Any change that would substantially degrade the Premium features, and any change to the Terms of Sale, are notified to the Customer at least 30 days in advance; the Customer may then cancel their Subscription with immediate effect and obtain a pro rata refund of the paid period not yet used.

12. Personal data

The data processing relating to the Subscription (contract management, invoicing, payment through Stripe or the distribution platform) is described in the Privacy Policy.

13. Consumer mediation, disputes

13.1. Prior complaint. Any complaint must be sent in writing to the dedicated address reclamation@kotidy.app. The Seller acknowledges receipt and replies within a maximum of 30 days from receipt. This preliminary step is a condition of the admissibility of any subsequent referral to the mediator (Article R612-2 1° of the French Consumer Code): it constitutes the complaint procedure provided for in the contract within the meaning of that provision.

13.2. Mediation. If the Seller's reply does not satisfy the Customer, or if no reply is given by the end of the 30-day period referred to in Article 13.1, the consumer Customer may refer the matter free of charge to the consumer mediator appointed by the Seller:

The referral must be made within one year of the written complaint sent to the Seller (Articles L612-1 et seq. of the French Consumer Code).

13.3. These Terms of Sale are governed by French law and are drawn up in French. In the absence of an amicable agreement or successful mediation, the French courts have jurisdiction under the ordinary rules of law.

Annex 2: Articles L215-1 to L215-3 and L241-3 of the French Consumer Code

Article L215-1: « Pour les contrats de prestations de services conclus pour une durée déterminée avec une clause de reconduction tacite, le professionnel prestataire de services informe le consommateur par écrit, par lettre nominative ou courrier électronique dédiés, au plus tôt trois mois et au plus tard un mois avant le terme de la période autorisant le rejet de la reconduction, de la possibilité de ne pas reconduire le contrat qu'il a conclu avec une clause de reconduction tacite. Cette information, délivrée dans des termes clairs et compréhensibles, mentionne, dans un encadré apparent, la date limite de non-reconduction.

Lorsque cette information ne lui a pas été adressée conformément aux dispositions du premier alinéa, le consommateur peut mettre gratuitement un terme au contrat, à tout moment à compter de la date de reconduction.
